Terms of Engagement

1. Overview

These Terms of Engagement govern all consulting services provided by Kolyde Co Solutions ("Kolyde Co", "we", "our", or "us"). By engaging our services, you agree to these terms.

2. Scope of Services

The specific scope, deliverables, timeline, and investment for each engagement will be documented in a separate Statement of Work (SOW) or engagement letter, which forms part of these Terms.

3. Payment Terms

Payment terms vary by engagement model. Unless otherwise specified in the SOW:

• → Signal (Retainer): Billed monthly in advance
• → Build (Fixed-Scope): 50% on project start, 50% on delivery
• → Embed (Fractional): Billed monthly in advance
• → Sprint (Workshop): Full payment due before workshop date

Invoices are due within 14 days of issue unless otherwise agreed.

4. Intellectual Property

Upon full payment, clients receive full ownership of all deliverables created specifically for their engagement. Kolyde Co retains ownership of pre-existing tools, frameworks, and methodologies, which may be licensed to clients as part of the engagement.

5. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives the termination of the engagement.

6. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed to date.

7. Limitation of Liability

Kolyde Co's liability is limited to the fees paid for the specific engagement in question. We are not liable for indirect, incidental, or consequential damages.

8. Governing Law

These Terms are governed by the laws of Nigeria. Any disputes arising from these Terms or our services will be resolved through arbitration in Lagos, Nigeria.
